Terms of Service
1. Introduction and Acceptance
These Terms of Service (the “Terms”) govern access to and use of the websites, applications, interfaces, software, APIs, SDKs, and related products made available by HOT Labs (“HOT Labs,” “we,” “us,” or “our”). These products include HOT Wallet, HOT Bridge, HOT Pay, HOT Craft, HOT Exchange (HeX), HOT MPC, interfaces for HOT Protocol, and related features (collectively, the “Services”).
These Terms form a binding agreement between HOT Labs and the person or entity using the Services (“you” or “your”). By accessing or using a Service, clicking an acceptance control, or connecting a wallet to a Service, you confirm that you have read and accepted these Terms and our Privacy Policy. If you do not agree, do not use the Services.
If you use the Services for an organization, you represent that you are authorized to bind that organization. In that case, “you” includes the organization.
Nothing in these Terms limits consumer rights that cannot lawfully be excluded or waived in your jurisdiction.
2. Eligibility and Legal Compliance
You may use the Services only if you:
- are at least eighteen years old and legally capable of entering into this agreement;
- may lawfully use the Services under the laws applicable to you;
- are not subject to sanctions or included on a restricted-party list maintained by the United Nations, United States, United Kingdom, European Union, or another applicable authority; and
- are not located in a jurisdiction where your use of the Services is prohibited.
You are responsible for determining whether your use of the Services, including any transaction involving Digital Assets, is lawful where you live or operate.
3. The Services
3.1 Software Interfaces
The Services provide software tools for interacting with blockchain networks, smart contracts, Digital Assets, decentralized applications, and third-party protocols. Depending on the feature, the Services may allow you to create or connect a wallet, view public blockchain information, prepare and submit transactions, swap or bridge Digital Assets, create payment links, access staking or decentralized finance features, or use distributed signing functionality.
The Services are software interfaces. Unless expressly stated for a specific feature, HOT Labs is not a bank, broker, exchange, investment adviser, custodian, trustee, payment processor, money transmitter, escrow provider, merchant of record, or fiduciary.
3.2 Service Availability and Access
Some Services may be available through a website, browser extension, mobile application, third-party application store, embedded integration, or another distribution channel. Features may differ by device, network, region, or version.
You must install security updates and use a supported version of the relevant software. We may impose reasonable technical limits or restrict access where necessary to protect users, the Services, or third parties; comply with law; address security threats; or prevent misuse.
3.3 Third-Party Features
The Services may display, route to, or integrate third-party content, protocols, smart contracts, applications, liquidity sources, validators, RPC services, payment methods, or other services (“Third-Party Services”). Your use of a Third-Party Service may be subject to separate terms, privacy notices, fees, eligibility requirements, and risk disclosures.
HOT Labs does not control Third-Party Services and does not guarantee their security, availability, legality, accuracy, performance, or continued operation. You decide whether to use them and bear the risks of doing so.
3.4 Support
Any support or educational material we provide is general information, not financial, investment, tax, or legal advice. HOT Labs will never ask you to disclose a private key, secret recovery phrase, password, or complete wallet backup. You should treat any person requesting those credentials as an impersonator or potential attacker.
4. Self-Custody and User Control
4.1 Non-Custodial Design
HOT Wallet and the other wallet-related Services are designed for self-custody. HOT Labs does not take possession of your Digital Assets and does not hold a complete private key or other credential that would give HOT Labs unilateral authority to move those assets.
Depending on the wallet mode and features you select, transaction authorization may rely on credentials stored on your device, a recovery method configured by you, and/or distributed cryptographic operations performed through HOT Protocol. HOT Labs does not independently sign transactions for you and cannot initiate a transfer from your wallet without the authorization required by the applicable wallet configuration.
4.2 Your Credentials and Recovery Configuration
You are responsible for securing your devices, passwords, passcodes, secret recovery phrases, key material, authentication factors, backups, recovery settings, and any permissions you grant to applications or smart contracts (“Wallet Credentials”).
Some Services may offer optional recovery or authentication methods. Their availability and operation depend on the wallet configuration, software version, networks, validators, and third-party systems involved. HOT Labs cannot recover access outside the recovery methods supported and properly configured for your wallet. If you lose every credential or recovery method required by your configuration, access to the wallet and its Digital Assets may be permanently lost.
Do not share Wallet Credentials with HOT Labs or any third party. Storing sensitive credentials in an unencrypted file, cloud drive, message, email, screenshot, or other remotely accessible location can materially increase the risk of theft.
4.3 Transactions and Approvals
You are responsible for reviewing every address, network, asset, amount, fee, approval, permission, message, and transaction before authorizing it. A cryptographic signature may grant a third party continuing authority over assets or wallet activity.
Blockchain transactions are generally final after submission or confirmation. HOT Labs cannot cancel, reverse, recall, edit, or refund a transaction recorded or pending on a blockchain. HOT Labs also cannot retrieve assets sent to an incorrect address or through an incompatible network.
4.4 No Control Over Assets or Protocols
HOT Labs does not control public blockchains, validator or sequencer decisions, third-party smart contracts, token issuers, decentralized organizations, or the conduct of counterparties. A restriction on access to a HOT Labs interface does not give HOT Labs possession of, or the ability to freeze, Digital Assets in a self-custodial wallet.
5. HOT MPC and HOT Protocol
Certain Services use multi-party computation and a network of independent validators to produce signatures without HOT Labs holding a complete private key. Key material and authorization requirements may be divided between user-controlled components and validator-controlled components.
Validators operate independently and are responsible for their own infrastructure, security, software, availability, and compliance. HOT Labs does not guarantee validator participation, response time, or uninterrupted signing. Distributed signing may fail or be delayed because of validator outages, network congestion, protocol changes, hardware failures, software defects, security incidents, or loss of a required user-controlled credential.
Trusted execution environments and other security technologies reduce certain risks but do not eliminate every vulnerability. Hardware manufacturers, infrastructure operators, and independent validators are not controlled by HOT Labs.
6. Service-Specific Terms
6.1 HOT Bridge and Swaps
Bridge and swap features help you prepare and submit transactions through blockchain networks and Third-Party Services. HOT Labs does not guarantee a quoted rate, execution time, route, output amount, liquidity level, finality, or successful completion. Quotes may expire, price impact may change, and transactions may fail or settle differently because of market movement, network conditions, protocol behavior, or third-party actions.
6.2 HOT Pay
HOT Pay provides non-custodial checkout and payment-link software. Merchants choose their receiving address and are responsible for their goods, services, refunds, taxes, disclosures, customer support, and legal compliance. Payers are responsible for verifying the merchant, amount, asset, network, and receiving address before authorizing a transaction.
HOT Labs is not a party to the underlying transaction between a merchant and payer and does not hold or settle their funds. Disputes about a purchase, delivery, refund, charge, or merchant representation must be resolved between the merchant and payer, subject to any rights provided by applicable law.
6.3 Digital Asset and NFT Information
Names, symbols, prices, balances, images, metadata, estimated values, and transaction previews may be obtained from public networks or third parties. Such information may be delayed, incomplete, inaccurate, malicious, or unavailable. Display of an asset or protocol does not mean that HOT Labs has reviewed, endorsed, or verified it.
7. Fees and Taxes
Use of the Services may result in blockchain fees, validator fees, swap or bridge fees, third-party charges, or fees disclosed in the interface. Fees may change before a transaction is confirmed. Network and third-party fees are not controlled by HOT Labs and may be non-refundable even when a transaction fails.
You are responsible for taxes, duties, reporting, and other government charges arising from your use of the Services or transactions in Digital Assets. HOT Labs does not provide tax advice.
8. Your Responsibilities
You agree to:
- use the Services only for lawful purposes and in accordance with these Terms;
- maintain the security and integrity of your devices and Wallet Credentials;
- verify transaction details and independently evaluate smart contracts, assets, and counterparties;
- promptly install relevant security and software updates;
- maintain any backups or recovery methods appropriate for your wallet configuration; and
- provide accurate information when a Service requires information from you.
You are responsible for activity authorized through your devices, Wallet Credentials, connected applications, delegated permissions, or accounts, except to the extent directly caused by HOT Labs’ breach of these Terms.
9. Prohibited Conduct
You may not use the Services to:
- violate law, sanctions, court orders, or the rights of another person;
- engage in fraud, theft, money laundering, terrorist financing, market manipulation, or transactions involving unlawfully obtained property;
- distribute malware, exploit vulnerabilities, interfere with operation, or gain unauthorized access;
- evade technical restrictions, overload infrastructure, or use automated requests in a manner that disrupts the Services;
- misrepresent your identity, affiliation, or authority;
- infringe intellectual property, privacy, or other legal rights; or
- help another person do any of the above.
We may investigate suspected misuse and may restrict access to interfaces that we control. We may also comply with valid legal requests. These actions do not imply that HOT Labs can control an independent blockchain or take custody of assets in a self-custodial wallet.
10. Changes, Suspension, and Discontinuation
We may add, change, suspend, or discontinue a Service or feature. Where reasonably practicable, we will communicate material changes through the relevant Service, website, or other public channel. Immediate changes may be necessary for security, legal, or technical reasons.
We may update these Terms from time to time. The updated version will state its effective date. Continued use after the updated Terms take effect constitutes acceptance, except where applicable law requires another form of notice or consent.
You should maintain any credentials and recovery information needed to access your wallet through compatible software if a HOT Labs interface becomes unavailable.
11. Intellectual Property and License
HOT Labs and its licensors own the Services, branding, content, documentation, and related intellectual property, except for open-source software and third-party materials governed by their respective licenses.
Subject to these Terms, HOT Labs grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose. You may not copy, modify, distribute, sell, sublicense, reverse engineer, or commercially exploit proprietary portions of the Services except where applicable law or an open-source license expressly permits it.
Feedback may be used by HOT Labs without restriction or compensation, provided it does not identify you as the source without permission.
12. Privacy
Our Privacy Policy describes how information is handled in connection with the Services. Public blockchain activity is generally visible to anyone and cannot be deleted or changed by HOT Labs. Third-Party Services maintain their own privacy practices, which you should review independently.
13. Digital Asset and Technology Risks
Digital Assets and blockchain systems involve substantial risk. You acknowledge, among other things, that:
- asset prices and liquidity can change rapidly and may fall to zero;
- software, smart contracts, bridges, cryptography, validators, hardware, or networks may contain defects or vulnerabilities;
- transactions may be delayed, rejected, reorganized, front-run, exploited, or permanently recorded;
- forks, protocol upgrades, governance decisions, regulatory action, sanctions controls, or third-party restrictions may affect access or value;
- malicious tokens, applications, approvals, websites, messages, or counterparties may cause loss;
- loss or compromise of Wallet Credentials may cause irreversible loss of access or assets; and
- information shown by the Services may be inaccurate or become outdated.
You should use the Services only if you understand these risks and can bear the potential loss. HOT Labs does not provide investment advice and does not recommend any Digital Asset, protocol, or transaction.
14. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” HOT Labs disclaims express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, security, availability, and uninterrupted or error-free operation.
HOT Labs does not warrant that the Services, any Third-Party Service, or any Digital Asset will remain available, secure, compatible, or valuable; that a transaction will be completed; or that data displayed through the Services will be accurate.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
15. Limitation of Liability
To the fullest extent permitted by law, HOT Labs and its affiliates, officers, directors, employees, contractors, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, opportunity, data, goodwill, Wallet Credentials, access, or Digital Assets, arising from or related to the Services.
To the fullest extent permitted by law, HOT Labs’ total liability for all claims arising from or related to the Services or these Terms will not exceed the greater of (a) the fees you paid directly to HOT Labs for the affected Service during the twelve months before the event giving rise to the claim or (b) USD 100.
These limitations do not apply to liability that cannot lawfully be limited, including liability resulting from fraud, willful misconduct, or gross negligence where applicable law so requires.
16. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless HOT Labs and its affiliates, officers, directors, employees, contractors, and licensors from third-party claims, losses, and reasonable costs arising from your unlawful use of the Services, your breach of these Terms, your infringement of another person’s rights, or a dispute between you and your customer or counterparty.
This obligation does not apply to the extent a claim results from HOT Labs’ own breach, gross negligence, or willful misconduct.
17. Governing Law and Dispute Resolution
17.1 Informal Resolution
Before starting arbitration, the complaining party must send a written notice describing the dispute and requested relief. The parties will attempt in good faith to resolve the dispute for at least thirty days after receipt of the notice.
17.2 Governing Law
These Terms and any dispute arising from them or the Services are governed by the laws of the British Virgin Islands, without regard to conflict-of-law rules, except where mandatory consumer law requires otherwise.
17.3 Individual Arbitration
Except for claims eligible for small-claims court and requests for urgent injunctive relief concerning misuse of intellectual property or unauthorized system access, disputes will be finally resolved by binding arbitration administered by the BVI International Arbitration Centre under its applicable rules. The arbitration will be conducted by one arbitrator in English. The seat of arbitration will be the British Virgin Islands.
17.4 Class and Jury Waiver
To the fullest extent permitted by law, disputes must be brought individually. Neither party may pursue a class, collective, consolidated, mass, or representative proceeding. Each party waives trial by jury for disputes subject to arbitration.
If applicable law does not permit a provision of this Section 17, that provision will apply only to the maximum extent permitted, and any claim not subject to arbitration will be brought exclusively in the courts of the British Virgin Islands unless mandatory law provides otherwise.
18. Termination
You may terminate these Terms by stopping all use of the Services. We may suspend or terminate access to interfaces under our control if you breach these Terms, create a security or legal risk, or if continued operation is no longer commercially or technically reasonable.
Termination does not reverse blockchain transactions or give HOT Labs control over your Digital Assets. Sections that by their nature should survive termination—including Sections 4, 6 through 9, and 11 through 19—will remain effective.
19. General Provisions
These Terms and the Privacy Policy constitute the entire agreement concerning the Services unless separate written terms apply to a specific Service. If separate terms conflict with these Terms, the separate terms control for that Service.
If any provision is unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. HOT Labs may assign them as part of a merger, reorganization, asset transfer, or operation of law.
Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary, brokerage, custodial, or advisory relationship between you and HOT Labs.
The headings are for convenience only. The English version controls if a translation conflicts with it, except where local law requires otherwise.
